1. Introduction

These Terms and Conditions (the "Terms") govern your access to and use of RollPlayRadio, a tabletop role-playing game (TTRPG) audio service ("RollPlayRadio", "we", "us" or "our").

The Service is operated by RollPlayRadio, a sole trader based in Queensland, Australia (ABN 96 112 144 798). You can reach us at contact@rollplayradio.com.

By creating an account, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Service.

If you use the Service on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms, and "you" refers to that organisation.

2. Definitions

  • "Service" means the RollPlayRadio application, website and related online services we provide.
  • "Audio Content" means the sounds, music, ambience and other audio assets we make available through the Service.
  • "Scene" means the audio arrangements and mixes created using the Service (also referred to as "mixes" or "scenes").
  • "Session" means a saved playback state or configuration you create using the Service.
  • "Tavern" means the community area of the Service where users publish and share Scenes.
  • "User Content" means anything you create, upload, publish or otherwise make available through the Service, including Scenes and Sessions and any names or text you add. Ownership of Scenes and Sessions is dealt with in section 6.

3. Eligibility and accounts

You must be at least 13 years old to hold an RollPlayRadio account. If you are at least 13 but under the age of majority in your jurisdiction, you may only use the Service with the consent and supervision of a parent or guardian, who agrees to these Terms on your behalf and is responsible for your use of the Service.

When you create an account, you agree to:

  • provide accurate and complete information and keep it up to date;
  • keep your account credentials confidential and secure;
  • take responsibility for all activity that occurs under your account; and
  • notify us promptly if you become aware of any unauthorised use of your account.

Accounts are personal to you. You may not share, sell or transfer your account or credentials to anyone else unless we agree in writing.

4. Subscriptions, billing and cancellation

RollPlayRadio offers free and paid subscription tiers. Access to paid features requires an active paid subscription.

4.1 Billing

Paid subscriptions are billed in advance through our third-party payment processor, Stripe, on a recurring basis (for example monthly or annually, depending on the plan you select). Your subscription automatically renews at the end of each billing period until you cancel it.

4.2 Cancellation

You can cancel at any time through your account settings. When you cancel, your subscription will not renew, and your access to paid features will continue until the end of your current paid billing period. We do not provide partial refunds for unused time within a billing period, except where required by law.

4.3 Refunds

Fees are non-refundable except where a refund is required by law, including under the Australian Consumer Law and any mandatory consumer protection laws that apply to you in your country of residence. Full details of cancellations and refunds, including our satisfaction guarantee and how to request a refund, are set out in our Refund Policy.

If you are a consumer in the European Union or United Kingdom: by purchasing a subscription and accessing digital content immediately, you request that we begin supplying that content during the cancellation period and you acknowledge that you lose your statutory right of withdrawal once access has begun.

4.4 Price changes

We may change our subscription fees from time to time. We will give you at least 30 days' notice of any price change by email or through the Service. Price changes take effect from your next billing period after the notice period. If you do not agree to a price change, you may cancel before it takes effect; continued use after the change takes effect means you accept the new price.

4.5 Free trials and promotions

We may offer free trials or promotional pricing. The specific terms will be set out at the time of the offer. Unless you cancel before a free trial ends, your subscription will automatically convert to a paid subscription at the applicable rate. We may modify or withdraw trials and promotions at any time.

4.6 Taxes

Unless stated otherwise, prices may be exclusive of applicable taxes such as GST, VAT or sales tax. Any applicable taxes will be calculated and added at checkout and are your responsibility.

4.7 Failed payments

If a payment fails or is reversed, we may suspend or downgrade your access to paid features until the outstanding amount is paid.

5. Acceptable use

You agree not to misuse the Service. In particular, you must not:

  • disrupt, interfere with, or place an unreasonable load on the Service or its infrastructure;
  • access or attempt to access the Service, or any account or data, without authorisation;
  • reverse engineer, decompile or attempt to extract source code or Audio Content, except to the extent this restriction is prohibited by law;
  • scrape, harvest, rip or otherwise extract Audio Content from the Service;
  • infringe the intellectual property or other rights of any person;
  • use the Service for any unlawful, harmful or fraudulent purpose; or
  • circumvent any usage limits, access controls or security measures.

We may investigate suspected breaches and may suspend or terminate accounts that violate these Terms, as set out in section 14.

6. Scenes, sessions and the Tavern

6.1 Ownership of scenes and sessions

The Scenes and Sessions you create are made using our Audio Content, tools and platform. You do not acquire any ownership of the Scenes or Sessions you create. To the extent that any intellectual property rights in those Scenes and Sessions arise in your favour, you assign them to RollPlayRadio absolutely upon their creation. Where any right cannot be assigned, you grant us an exclusive, worldwide, perpetual, irrevocable, royalty-free and sublicensable licence to use it. You may create, save and use Scenes and Sessions within the Service in accordance with these Terms while your account is active.

6.2 The Tavern

When you publish a Scene to the Tavern, that Scene is owned by RollPlayRadio. Other users may access, load and use it within the Service for their own sessions, and we may feature published Scenes in our marketing of the Service. Scenes you publish to the Tavern may remain available to other users within the Service even after your account is closed; if you want a published Scene removed, you should unpublish or delete it before closing your account. Publishing a Scene does not give anyone the right to extract, download or redistribute the underlying Audio Content, which remains governed by section 7.

6.3 Your responsibilities

You are responsible for any names, text or other material you add to a Scene or Session. You warrant that you have all necessary rights to include that material and that it does not infringe any third party's rights or breach any law.

6.4 Moderation

We may review, moderate, refuse or remove Scenes and other content at our reasonable discretion, including where we consider they breach these Terms or may expose us or others to liability. We are not obligated to monitor content.

6.5 Feedback

If you give us feedback or suggestions about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them for any purpose without any obligation to you.

7. Audio content and licensing

Audio Content is licensed, not sold. While your account and any required subscription remain active and in good standing, we grant you a personal, limited, non-exclusive, non-transferable and revocable licence to access and use the Audio Content within the Service.

7.1 Restrictions

Except as expressly permitted in these Terms, you must not:

  • redistribute, resell, sublicense, lend or otherwise make Audio Content available to others as standalone files;
  • extract, rip, decompile or separate Audio Content from the Service; or
  • use Audio Content to create, train or contribute to a competing audio product, library or service.

7.2 Content creator use (streams, recordings, podcasts)

You may include Audio Content as background ambience in your own TTRPG sessions or TTRPG-related streams, recordings, videos and podcasts, including content that is monetised, provided that:

  • the Audio Content is used as ambience accompanying your TTRPG session, narration or commentary, and not as a standalone or primary audio track;
  • the stream, recording or other content includes substantial creative content of your own (such as live TTRPG session, narration, commentary or performance) and does not consist of Audio Content playing on its own with no other creative content occurring;
  • you do not present the Audio Content as your own, and do not license or offer it to others; and
  • you do not make the isolated Audio Content available for download or separate listening.

You are responsible for complying with the rules of any platform you publish to. We cannot guarantee that third-party platforms (for example through automated content-matching systems) will not flag audio, and we are not responsible for the actions of those platforms.

7.3 Professional and commercial GMs

You may use the Service in tabletop sessions that you personally run, including sessions for which you charge participants, provided your account remains personal to you and you otherwise comply with these Terms. Each GM who uses the Service requires their own subscription.

7.4 End of licence

Your licence to use Audio Content ends when your account or subscription ends, and you must stop using the Audio Content. Recordings you lawfully created and published under section 7.2 before that time may remain in place, provided they continue to comply with these Terms.

8. Our intellectual property

The Service, including the software, design, Audio Content, the RollPlayRadio name and logo, the Scenes and Sessions assigned to us under section 6, and all related intellectual property, is owned by us or our licensors and is protected by law. Except for the limited licences expressly granted to you in these Terms, no rights are granted to you. You must not use our trade marks or branding without our prior written consent.

9. Copyright complaints

We respect intellectual property rights and expect our users to do the same. If you believe that content published to the Tavern infringes your rights, please contact us at the email address in section 18 with enough detail to identify the content and your claim. We will review the report and may remove the content. We may terminate the accounts of users who repeatedly infringe.

10. Third-party services

The Service relies on third-party services, including Stripe for payment processing. Your use of those services may be subject to their own terms and privacy policies. We are not responsible for third-party services and do not control them.

11. Service availability and changes to the Service

We aim to keep the Service available, but we do not guarantee that it will be uninterrupted, secure or error-free. We may suspend the Service for maintenance or other operational reasons.

We may add, change or remove features of the Service. If we make a change that materially reduces a paid feature you rely on, we will give you reasonable notice where practical, and you may cancel your subscription if you do not wish to continue.

12. Privacy

We handle your personal information in accordance with our Privacy Policy, which forms part of these Terms. Please review it to understand how we collect, use and protect your information.

13. Disclaimers and limitation of liability

13.1 Disclaimers

To the maximum extent permitted by law, the Service and Audio Content are provided "as is" and "as available", without warranties of any kind, whether express or implied. Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or other laws that cannot lawfully be excluded.

13.2 Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special or consequential loss, or for any loss of profits, data, goodwill or business opportunity, arising from or in connection with your use of the Service.

Where our liability cannot lawfully be excluded but can be limited, our liability is limited, at our option, to re-supplying the relevant service or paying the cost of having it re-supplied; or, where that limit does not apply, to the total amount you paid us for the Service in the 12 months before the event giving rise to the liability. Nothing in these Terms limits any liability that cannot be limited or excluded by law.

13.3 Indemnity

To the extent permitted by law, you agree to indemnify us against any loss, claim or expense arising from your User Content, your use of the Service in breach of these Terms, or your breach of any law, except to the extent the loss is caused by us.

14. Suspension and termination

You may stop using the Service or delete your account at any time.

We may suspend or terminate your access if you breach these Terms, if required by law, or if we reasonably consider it necessary to protect the Service or other users. Where practical, we will give you notice.

On termination, the licences granted to you end (subject to section 7.4), and we may delete your account data and any unpublished content after a reasonable period, in accordance with our Privacy Policy. Scenes you have published to the Tavern are owned by RollPlayRadio and may remain available within the Service. Sections that by their nature should survive termination (including sections 6.1, 7.1, 8, 13 and 15) continue to apply. We do not provide refunds on termination for breach, except where required by law.

15. Changes to these terms

We may update these Terms from time to time. We will update the date at the top when we do, and we will notify you of material changes by email or through the Service. Continued use of the Service after changes take effect means you accept the revised Terms. If you do not agree to the changes, you should stop using the Service.

16. Governing law and disputes

These Terms are governed by the laws of Queensland, Australia. You and we submit to the non-exclusive jurisdiction of the courts of Queensland, Australia.

If you are a consumer resident in another country, you may be entitled to bring proceedings in the courts of your home country and to the benefit of mandatory consumer protection laws that apply there. Nothing in these Terms affects those rights.

Before commencing any formal dispute, we encourage you to contact us so we can try to resolve the matter informally.

17. General

These Terms, together with our Privacy Policy, are the entire agreement between you and us about the Service. If any provision is found to be unenforceable, the remaining provisions continue in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a sale or reorganisation of our business. Nothing in these Terms creates any agency, partnership or employment relationship. We are not liable for any failure or delay caused by events beyond our reasonable control.
